Website Terms of Use

These Website Terms of Use (“Terms”) govern your access to and use of the public websites operated by SecurityTrax LLC (“SecurityTrax,” “we,” “us,” or “our”), including securitytrax.com and our related marketing, documentation, knowledge-base, pricing, and account-signup pages (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not access or use the Site.

Relationship to the SaaS Agreement

These Terms apply to the Site only. Your access to and use of the SecurityTrax software-as-a-service platform and related services, including any logged-in account or application made available to customers (collectively, the “Services”), are governed by the SecurityTrax Software as a Service Agreement (the “SaaS Agreement”), and not by these Terms. If you are a SecurityTrax customer, the SaaS Agreement controls with respect to the Services, and in the event of any conflict between these Terms and the SaaS Agreement regarding the Services, the SaaS Agreement controls. Use of certain AI features is additionally subject to our AI Terms of Service.

Who May Use the Site

You may use the Site only if you can form a legally binding contract with SecurityTrax and are not barred from doing so under any applicable law. If you use the Site on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf. The Site is intended for businesses and is not directed to children.

Acceptable Use of the Site

When accessing or using the Site, you will not, and will not attempt to, or permit any third party to:

• interfere with, disrupt, or impose an unreasonable or disproportionately large load on the Site or the networks or systems used to provide it;
• gain or attempt to gain unauthorized access to any part of the Site, other accounts, or any system or network;
• use any robot, scraper, or other automated means to access or collect data from the Site except as permitted by our published robots.txt or with our prior written consent;
• reverse engineer, decompile, or otherwise attempt to derive the source code of any software made available through the Site, except to the extent this restriction is prohibited by applicable law;
• upload or transmit any viruses, malicious code, or other material that may damage or interfere with the Site;
• infringe, misappropriate, or violate the intellectual property, privacy, publicity, or other rights of any person;
• submit content or use the Site for any unlawful, deceptive, harassing, or fraudulent purpose, or misrepresent your identity or affiliation; or
• remove, obscure, or alter any proprietary notices on the Site.

Intellectual Property

The Site and all of its content, including text, graphics, logos, images, software, and the selection and arrangement thereof (the “Site Content”), are owned by SecurityTrax or its licensors and are protected by intellectual-property laws. Subject to your compliance with these Terms, SecurityTrax grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site Content for the purpose of learning about and evaluating SecurityTrax’s products and services. You may not copy, reproduce, modify, create derivative works from, distribute, publicly display, or commercially exploit any Site Content without our prior written consent. “SecurityTrax” and our logos are trademarks of SecurityTrax LLC and may not be used without permission.

Submissions and Signup

If you submit information through the Site — for example, a demo request or an account signup — you agree to provide accurate, current, and complete information, and you are responsible for the information you submit. Creating and using a SecurityTrax account, and your relationship with us as a customer, are governed by the SaaS Agreement, which you accept during signup.

Privacy

Your use of the Site is also subject to our Privacy Policy and Cookie Policy, which describe how we collect and handle information in connection with the Site.

Third-Party Links

The Site may contain links to websites or resources operated by third parties. We provide these links for your convenience only and do not control, endorse, or assume responsibility for any third-party sites, their content, or their privacy practices. Your use of third-party sites is at your own risk and subject to their terms.

Disclaimer of Warranties

THE SITE AND ALL SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SECURITYTRAX DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE SITE CONTENT IS ACCURATE, COMPLETE, OR CURRENT. ANY WARRANTIES RELATING TO THE SERVICES ARE ADDRESSED SOLELY IN THE SAAS AGREEMENT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SECURITYTRAX AND ITS AFFILIATES AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE. SECURITYTRAX’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND THEY DO NOT MODIFY THE LIMITATIONS OF LIABILITY IN THE SAAS AGREEMENT, WHICH GOVERN THE SERVICES.

Indemnification

You will defend, indemnify, and hold harmless SecurityTrax and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

Changes to the Site and These Terms

We may modify, suspend, or discontinue all or part of the Site at any time without notice. We may also update these Terms from time to time; the “Last updated” date below indicates when they were last revised. Changes are effective when posted, and your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

Governing Law and Dispute Resolution

These Terms, and any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Site (a “Claim”), are governed by the laws of the Commonwealth of Virginia, excluding its conflict-of-law rules.

Any Claim shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the seat of arbitration in Fairfax County, Virginia, and judgment on the award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, SecurityTrax may seek injunctive or other equitable relief in the state courts located in Fairfax County, Virginia, or the United States District Court for the Eastern District of Virginia, Alexandria Division, with respect to any actual or threatened infringement, misappropriation, or unauthorized access to the Site or its content, and you consent to the jurisdiction of those courts for that purpose.

YOU AND SECURITYTRAX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU AND SECURITYTRAX EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE.

Miscellaneous

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. SecurityTrax may assign these Terms without restriction; you may not assign them without our prior written consent. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and SecurityTrax regarding the Site, and (for customers) are in addition to the SaaS Agreement, which governs the Services.
